Welcome to MarkNote (the “App” or “we”). Please read these Terms carefully before use, especially the sections on paid services, auto-renewing subscriptions, disclaimers, and limitations of liability. By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.
1. Service Description
MarkNote is an AI-assisted personal planning and Markdown notes app. Main features include:
- Creating, editing, and managing Markdown documents in a workspace folder you choose, including iCloud Drive
- Voice input and AI assistant conversations, with support for reading and operating on workspace files
- Daily planning, Focus Mode, cross-device collaboration tasks, and other planning assistance
- Cross-device features through Apple cloud sync, Handoff, Live Activity, and more
- Optional MarkNote Membership auto-renewing subscriptions and Token packs as one-time in-app purchases for our hosted backend AI service
The App does not require registration with identity information such as an email or phone number. For AI quotas and paid services, it generates an anonymous identifier on your device to distinguish devices, track usage, and sync purchases and quota status; we do not use it to collect your real identity.
2. Conditions of Use
You represent and warrant that:
- You have full legal capacity, or use the App with guardian consent and supervision
- Your jurisdiction allows use of the App and related AI services
- You are responsible for workspace content and ensure it does not violate laws or third-party rights
3. Workspace and Data
3.1 Workspace
You must choose a folder as your workspace. The App reads and writes it through Apple file access mechanisms; we do not host or back up your workspace content.
3.2 Data Security
- Keep your device and iCloud account secure
- Back up important notes and plans yourself
- API Keys and similar credentials are stored locally; do not expose them by sharing your device or screenshots
3.3 Clearing and Uninstalling
Uninstalling removes local settings and conversation cache and does not automatically delete workspace files. Clear local conversations in Settings → Conversation History → Clear Conversation History. Uninstalling also does not cancel an auto-renewing subscription; see Section 5.
4. AI Features
4.1 Third-Party AI Services (Self-Configured API Key)
You may configure model APIs such as DeepSeek, Doubao, Qwen, or a permitted custom endpoint. You must:
- Follow the provider’s terms and policies
- Pay any API usage costs
- Understand that conversation content is sent to your selected provider
- Read and accept the in-app data sharing notice before the first transfer
4.2 MarkNote Backend AI Service
- Conversation content is forwarded through our servers to third-party model providers and the result is returned to you
- Use requires valid free quota, membership, or Token balance
- We process content only as necessary to provide the service; see the Privacy Policy
- Third-party models are governed by their respective policies
4.3 AI Output
AI-generated text, plans, and suggestions are for reference, may contain errors or outdated information, and do not constitute medical, legal, financial, or other professional advice. Verify important matters yourself.
4.4 File Operations
AI can read, create, modify, or delete workspace files. The App asks for confirmation before deletions or updates to profile.md; other writes may be performed directly. You are responsible for the results.
5. Paid Services (Membership Subscription and Token Packs)
5.1 Overview
All optional paid services use Apple App Store in-app purchase:
- MarkNote Membership: Monthly auto-renewing subscription
- Token packs: One-time consumable purchases
You may instead use limited free conversations or configure your own third-party API Key.
5.2 Free Quota
- New users receive 50 total free AI conversations, up to 10 per day by default; actual quotas are shown in the App
- After the quota is used, subscribe, purchase Token packs, or use your own API Key
- Policies for some early users are as shown in the App
5.3 MarkNote Membership (Auto-Renewing Subscription)
- Membership renews monthly at the price shown in the App Store
- Members receive a monthly number of free AI conversations as shown in the App; later conversations consume purchased or redeemed Tokens
- Unless auto-renewal is turned off at least 24 hours before the current period ends, the subscription renews within 24 hours before period end and charges your Apple account
- Manage or cancel in iOS Settings → Apple Account → Subscriptions. Cancellation stops the next renewal; the current paid period is non-refundable
- Payment is charged to your Apple account when you confirm purchase
5.4 Token Packs (Consumable In-App Purchase)
- Token packs are one-time consumable purchases; purchased Tokens do not expire
- Tokens are deducted by actual use, and balances from different sources may be consumed in a defined order
- Consumable purchases generally do not support Restore Purchases; retain your receipts
5.5 Voucher Redemption
Official vouchers or codes may redeem Tokens. Redeemed Tokens follow the same rules and are non-transferable, non-cashable, and non-refundable except where required by law.
5.6 Refunds
- Refunds must follow Apple’s refund policy and be requested from Apple; we cannot issue them directly
- To the extent permitted by law, consumed Tokens and active subscription periods are non-refundable
5.7 Price and Entitlement Changes
We may adjust prices, free quotas, and membership benefits through App updates or in-app notices. This does not affect purchased, unconsumed entitlements.
6. Voice and Recognition
- Voice input requires microphone permission; Apple recognition also requires speech recognition permission
- Optional third-party cloud speech services may be configured; the App asks for consent before first sending audio
- Without a third-party cloud service, Apple system speech recognition is used
7. User Conduct
You agree not to:
- Engage in illegal, infringing, or harmful activity
- Upload, generate, or distribute illegal, defamatory, harassing, pornographic, or violent content
- Crack, reverse engineer, interfere with, or abuse the App, backend, or third-party APIs
- Automate excessive AI calls, farm free quota, or bypass billing in ways that affect service stability or incur improper costs
8. Intellectual Property
- The App’s software, interface, icons, and related intellectual property belong to the developer
- Workspace content belongs to you or its respective rights holders
- Built-in Agent prompt resources are only for App operation and may not be extracted for other products
9. Third-Party Services
AI models, speech recognition, iCloud, and App Store payments are independently operated. We are not responsible for their availability, accuracy, or policy changes, and you must follow their terms.
10. Disclaimer
To the maximum extent permitted by law:
- The App is provided “as is” without express or implied warranties
- We do not guarantee accurate, complete, timely, or uninterrupted AI output
- We are not liable for losses caused by network failures, API limits, backend outages, iCloud delays, device failures, or user error
- You bear the consequences of AI suggestions or file operations you confirm
11. Limitation of Liability
We are not liable for indirect, incidental, special, or consequential damages arising from use or inability to use the App. Our total liability is limited to fees, if any, you paid for the App. Some jurisdictions do not permit certain exclusions, so these limits may not fully apply.
12. Changes and Termination
- We may update these Terms; continued use after an update constitutes acceptance
- You may stop using and uninstall the App, but must cancel subscriptions separately as described in Section 5.3
- For material breaches, we may restrict or terminate use of the App or backend to the extent permitted by law
13. Governing Law and Disputes
These Terms are governed by the laws of the People’s Republic of China, excluding conflict-of-law rules. Disputes should first be resolved through negotiation; otherwise, they shall be submitted to a court with jurisdiction where the developer is located.
